EV3 Fellowship Terms and Conditions

a. The Program is open to individuals 18 years of age and older who (i) do not reside or have citizenship in any jurisdiction that would cause EV3 or any person or entity affiliated with EV3 to violate any applicable law, rule, regulation, policy, or procedure and (ii) are not listed on any sanctions list maintained by the U.S. Department of the Treasury, Office of Foreign Assets Control or any other similar list maintained by the government of any national, federal, state, or local jurisdiction or any department, division, office, or other instrumentality thereof. EV3 reserves the right to impose additional eligibility requirements at any time.

b. Participation in the Program and the opportunity to receive a Program Grant is available only where permitted by law and subject to the additional terms and conditions applicable to a Program Grant, as contained in the documents related thereto. You are solely responsible for determining whether the laws, rules, regulations, policies, and procedures applicable to you prohibit you from participating in the Program or receiving a Program Grant. The opportunity to participate in the Program or receive a Program Grant is void where prohibited by applicable law, rule, or regulation or pursuant to any policies or procedures applicable to an Applicant (including, without limitation, in connection with such Applicant's employment, consulting, or other relationship with a third party). EV3 reserves the right to prohibit, limit, cease, or otherwise modify an Applicants ability to participate in the Program or to receive a Program Grant for any reason or no reason, including, without limitation, in connection with EV3's interpretation of any laws, rules, regulations, procedures, or policies EV3 determines to be applicable to such Applicant.

a. Program Grants. Approximately two Applicants (each, a "Grantee") will be selected by EV3 for a $50,000 grant from the program (a "Program Grant"). Notice of selection will be delivered in writing to each Grantee by EV3 and the Program Grant will be delivered following completion of EV3's process for verifying the identity and eligibility of each Grantee, execution of forms regarding the Grantee's receipt of the Program Grant, and such other actions as may be determined by EV3 with respect to each Program Grant (the "Grant Process"). Failure to complete the Grant Process in full shall result in a Grantee forfeiting the right to receive a Program Grant.

b. Provision of Information. All information that an Applicant provides to EV3 in connection with the Program must be true, accurate, current, and complete. Each Applicant is responsible for updating all information provided to EV3 by such Applicant so that it remains true, accurate, current, and complete at all times.

c. Representations and Warranties. Each Applicant represents and warrants that (i) such Applicant's participation in the Program (including, without limitation, such Applicant's application to participate in the Program) is in compliance with all laws, rules, and regulations applicable to such Applicant and will remain in compliance with all laws, rules, and regulations for the duration of such Applicant's participation, (ii) such Applicant's submission of an application for participation in the Program in accordance with these Terms by such Applicant does not and will not conflict or violate any obligation or duty that such Applicant may have to any third party for any reason, (iii) such Applicant will submit an application for participation in the Program using only one name, username, email address, wallet address, or other identifier as requested by EV3 in connection with the submission process or will notify EV3 in writing of any changes to such information in connection with any subsequent submissions by such Applicant, in each case, such that EV3 will be able to identify the natural person associated with each submission of an application for the Program, (iv) such Applicant will adhere and abide by these Terms, as then in effect, at all times, and (iv) such Applicant will not and will not seek to, directly or indirectly, circumvent these Terms in any respect.

a. Modification of the Program these Terms. EV3 reserves the right in its sole discretion (i) to modify, change, or update these Terms or (ii) to modify, change, update, or discontinue the Program, in each case, at any time without any liability or notice beyond updating these Terms.

b. Publicity Release. By participating in the Program (including, without limitation, by submitting an application for participation in the Program), you hereby (i) give EV3 and its designees permission to publish, adapt, distribute, display, prepare derivative works of, and otherwise use any information provided or submitted by you in connection with one or more Projects for advertising, promotional, and other purposes as determined by EV3 in any and all media now known or existing at any time in the future throughout the world, without further approval, notification, or compensation, and (ii) release EV3 and its designees from any and all liability in connection therewith. The foregoing publicity release is void where prohibited or restricted by law. EV3 will not intentionally publicly use the name of an individual who is not selected for a Program Grant without such individual's consent. Notwithstanding the foregoing, you acknowledge and agree that EV3's use of certain information related to you, such as information you provide in your application for participation in the Program, including, without limitation, your scores on certain tests, other awards or achievements you may have received or completed, or other publicly available information about you, may result in you being identified or identifiable by persons familiar with such information. Neither EV3 nor any of its affiliates shall have any liability to you or any other person as a result of such indirect identification or identifiability.

c. Taxes. Program Grants, as well as any other item of value provided to you by EV3 or its designees, may be taxable, depending on the value of the item and applicable federal, state, local, and foreign tax laws. You are solely responsible for payment of any applicable taxes and any applicable tax reporting obligations.

d. Release. By submitting an application or otherwise participating in the Program, you agree to release EV3, its affiliates, related companies, designees, providers, suppliers, and agents, and the respective officers, directors, owners, representatives, managers, employees, consultants, and agents of any of the foregoing (each, a "Releasee"), from any and all losses, liabilities, claims, damages, costs, and expenses (including reasonable attorneys' fees), including without limitation property damages, personal injury, and/or death, arising from or related to the Program, including, without limitation, (a) the collection, redemption, revocation, or deletion of information, documents, or other materials, (b) Program Grants, (c) the suspension, termination, or modification of your participation in the Program, and (d) the suspension, modification, or termination of the Program or the forfeiture of any Program Grant related thereto. USE OF THIS WEBSITE IS AT YOUR SOLE RISK. THE PROGRAM, THE PROGRAM'S WEBSITE, AND ALL OTHER PRODUCTS AND SERVICES PROVIDED BY, THROUGH OR IN CONNECTION WITH THE PROGRAM ARE PROVIDED AND MUST BE ACCEPTED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND. THE RELEASEES MAKE NO REPRESENTATIONS OR WARRANTIES, EXPRESS OR IMPLIED, WITH RESPECT TO THE FOREGOING, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE AND ANY WARRANTY OF NON-INFRINGEMENT, TITLE, OR QUIET ENJOYMENT.

e. Limitations of Liability. UNDER NO CIRCUMSTANCES SHALL ANY OF THE RELEASEES BE LIABLE FOR ANY DIRECT, INDIRECT, PUNITIVE, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING OUT OF OR IN ANY WAY CONNECTED WITH THE PROGRAM OR YOUR PARTICIPATION THEREIN.

f. Release of Claims. BY PARTICIPATING IN THE PROGRAM OR SUBMITTING AN APPLICATION FOR PARTICIPATING IN THE PROGRAM, YOU WAIVE ANY AND ALL RIGHTS TO BRING ANY CLAIM OR ACTION RELATED TO THE PROGRAM BEYOND ONE YEAR AFTER THE FIRST OCCURRENCE OF THE ACT, EVENT, CONDITION, OR OMISSION UPON WHICH THE CLAIM OR ACTION IS BASED.

g. Indemnification. You agree to defend, indemnify, and hold harmless the Releasees from any and all losses, liabilities, claims, damages, costs, and expenses (including reasonable attorneys' fees) that arise out of or are related to your violation of these Terms or applicable law, rules or regulations. You agree to reimburse EV3 for any rewards that were fraudulently obtained by you.

h. Disputes. All questions or disputes regarding the Program or your compliance with these Terms will be resolved by EV3 in its sole discretion. These Terms are governed by the laws of the State of New York without regard to the conflicts of laws rules of any jurisdiction that would require or permit the application of the law of any other jurisdiction. Any dispute, claim or cause of action arising out of or concerning the interpretation or effect of these Terms, your participation in the Program, or your eligibility to receive any Program Grant (a) must be resolved in the state or federal courts situated in New York, New York and (b) except where prohibited, shall be resolved individually, without resort to any form of class action. You irrevocably agree to the personal jurisdiction, subject matter jurisdiction, and venue of these courts.

i. Severability. If any provision of these Terms is held unenforceable or invalid under any applicable law or is so held by applicable court decision, such unenforceability or invalidity will not render these Terms unenforceable or invalid as a whole, and such provision will be changed and interpreted so as to best accomplish the objectives of such unenforceable or invalid provision within the limits of applicable law or applicable court decisions.

j. Waiver. Any waiver by EV3 of a breach of any provision of these Terms shall not operate as, or be construed to be, a waiver of any other breach of such provision or of any breach of any other provision of these Terms. Failure by EV3 to insist upon strict adherence to any provision of these Terms on one or more occasions shall not be considered a waiver or deprive EV3 of the right to insist upon strict adherence to that provision or any other provision of these Terms.

k. Entire Agreement. These Terms constitute the entire agreement between you and EV3 pertaining to the subject matter hereof and supersede all prior or other arrangements, understandings, negotiations, and discussions, whether oral or written.
